Partner terms
Version of 18 October 2026. These terms apply to businesses that offer goods to consumers through be-loud.eu ("partners") and form part of the partner agreement (the cooperation agreement with partner sellers; the references to articles below are to that agreement). They are the plain-language terms required by Regulation (EU) 2019/1150 (platform-to-business). The operator is MT SOFTWARE CONSULTING SRL.
1. How partner offers are ranked and shown
Which seller is shown for a product follows one rule that is the same for every partner: if MT SOFTWARE CONSULTING SRL has the product in its own stock, the shop is the seller; otherwise the seller is the active partner registered for the customer's delivery country that has the most stock of that product. Stock quantity and the delivery country are the only parameters. Nobody can pay for a better position or for being shown more often. In product lists (search, categories, recommendations) the same rule applies to all products, whoever the seller is: fit with the chosen car, a brand order set by the platform (the ranges we stock, support and know best), availability and the list's own criterion; the rules are described in How we rank and recommend (the agreement, Article 20.1). One effect we state below as differentiated treatment: a product held in our own stock is listed before a product held only by partners.
Differentiated treatment (the agreement, Articles 20.2 and 20.4). (a) Our own stock takes precedence over partner stock, both in the choice of the seller shown and in the order of products in lists (the availability criterion of the common rule: first own stock, then the stock of a partner registered for the customer's country). (b) MT SOFTWARE CONSULTING SRL also sells its own products on the platform, has access to the data of all orders and pays no commission on its own sales. (c) Partners may sell the same goods through any other channels, on any terms; we impose no parity clause. Apart from that, partners are treated alike; we do not offer any partner paid or privileged placement.
2. Suspension and termination
We may suspend or restrict a partner's offers, or end the agreement, for a reason such as: breach of these terms or of the law; selling goods that are unsafe, counterfeit or illegal; trader data (name, address, register number) that is false or not kept up to date; repeated failure to ship, to answer customers or to honour returns and the legal guarantee; or a justified order of an authority (the agreement, Article 22.1).
We give 30 days' notice before terminating the agreement, and we state the reasons in writing on a durable medium (e-mail) before or when the termination takes effect (the agreement, Article 22.2). Where the law requires it, or where the breach is serious or repeated, we may suspend or end the service without that period; the statement of reasons is then sent without delay (Article 22.3). A partner may end the agreement by written notice given with [•] days' notice (Article 22.2).
3. Internal complaint handling
A partner can complain about a decision of ours (for example a suspension, a delisting, a ranking or a payment matter) by e-mail to contact@be-loud.eu or from the partner portal. We confirm receipt within [•] business days, examine the complaint with the people who decided and answer in writing with reasons within [•] business days (the agreement, Articles 23.1 and 23.2). We tell the partner what we change, if anything.
4. Mediation
If a complaint is not settled, the partner may ask for mediation. We take part in good faith with a mediator from among [•] and [•] (the agreement, Article 23.3) and bear a reasonable share of the costs. Mediation does not take away the right to go to court.
5. Access to data
A partner sees, in the partner portal and through its API, the data of its own offers, stock, orders and settlements, and the customer data needed to ship, invoice and handle returns for its own orders (the agreement, Article 20.3 and Annex 3). It sees no data of other partners, and no customer data beyond what its own orders need. MT SOFTWARE CONSULTING SRL processes partner and order data to run the marketplace, pay out, prevent fraud and meet legal duties, as described in the privacy policy. After the agreement ends, the partner keeps access to its data for [•] days.
6. Changes to these terms
We tell partners of any change on a durable medium at least 15 days before it takes effect; the period is at least [•] days if the change requires technical or commercial adaptations by the partner. A partner may end the agreement before that date, and a shorter period applies only where the law requires it (the agreement, Article 21).
